These Terms and Conditions govern your use of the Pleza Services Ltd website and any services you purchase from us. By using our website or engaging our services, you agree to these terms.
1. Who we are

2. Our services
We provide UK company formation, nominee director, nominee shareholder, registered office/virtual office, ecommerce account setup support, and international introduction services. Specific terms for each service (including duration, fees, and obligations) are set out in your individual service agreement, which forms part of these Terms.
3. Fees and payment
Fees for our services are set out in your individual quote or service agreement and are payable in advance unless otherwise agreed in writing. Nominee director and nominee shareholder appointments are provided on a 12 month basis, renewable annually at the fee confirmed at the time of renewal.
4. Client obligations
You agree to provide accurate, complete information and documentation, including for identity verification (KYC) and anti money laundering purposes. We reserve the right to decline or terminate services where required information is not provided, or where we reasonably suspect fraudulent, unlawful, or non compliant activity.
5. Nominee services: scope and limits
Our nominee director and nominee shareholder services are governed by the specific Director Appointment & Indemnification Agreement, Power of Attorney, and/or Declaration of Trust signed by you. These Terms do not override those documents; where there is a conflict, the specific agreement takes precedence.
6. Cancellation and renewal
Services renew automatically at the end of each term. You may cancel at any time, with no notice period, from your client dashboard or by emailing us. Once we receive your cancellation, the next automatic renewal is stopped and your service remains active until the end of the period you have already paid for. Fees paid are non refundable.
Your registered office address after cancellation. When your service ends, you are no longer authorised to use our address. You must change your company's registered office address at Companies House, and update any other records where you use our address, within 30 days of the date your service ends. If the change has not been made within 30 days, we may notify Companies House that our address is being used without authorisation and request that your company's registered office be changed to the Companies House default address. Whether to make this change is a decision for Companies House.
7. Limitation of liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under UK law. Subject to this, our total liability to you arising from our services shall not exceed the greater of the fees paid for the relevant service in the preceding 12 months, or our Professional Indemnity insurance limit at the time of the claim, and we shall not be liable for any indirect or consequential loss, including loss of profits, revenue, or goodwill. We are not liable for any loss arising from inaccurate or incomplete information provided by you, or from the acts, omissions, or conduct of any third party we introduce you to, including under our international introduction service. No claim may be brought against us more than 12 months after the event giving rise to it first occurred, or the date you became aware of it, whichever is earlier.
8. Introductions disclaimer
Where we facilitate introductions (including our international investment introduction service), we act as an introducer only. We do not provide financial, investment, or legal advice, and any resulting transaction is conducted directly between you and the introduced party, at your own risk.
9. Intellectual property
All content on this website (text, branding, design) is owned by Pleza Services Ltd and may not be copied or reused without permission.
10. Governing law
These Terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to these Terms
We may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
